Fox could separate Sky News to satisfy United Kingdom regulator on takeover

Murdoch’s ownership of the Sun the Times and the Sunday Times newspapers has led to competition concerns over the Fox takeover of Sky News

Walt Disney Co. has offered to buy United Kingdom media outlet Sky News in an effort to assist 21st Century Fox's bid to acquire the European broadcast giant, Bloomberg News reported Tuesday.

Disney said on Tuesday if the British government allows Fox to consolidate all of Sky, it is open to acquiring Sky News even if the larger transaction doesn't proceed.

Fox, which now owns 39% of Sky, in December 2016 launched a bid to take full control of the British company.

It comes as the Competition and Markets Authority (CMA) is set to decide whether or not to recommend Fox's deal for Sky to Culture Secretary Matt Hancock, who must decide to either approve or block it.

Britain's antitrust regulator said in January the deal could give Murdoch undue influence given his existing interests in the Sun and Times newspapers.

"The big thing we still don't know is what Comcast are going to do about their potential offer for Sky, which in the short term at least has created a market in Sky shares which is far above the price that 21st Century Fox has offered", he explained.

The regulator is expected to consider both proposals as it explores the latest remedies and what they mean for its stance on the deal.

"These enhanced remedies went above and beyond what Ofcom, the expert, independent regulator on United Kingdom broadcasting, had stated would mitigate concerns around media plurality".

Murdoch's company have made several adjustments to the deal, the newest stating that Sky News will be independent. Sky has been a consistent innovator in its use of technology to deliver a fantastic viewing experience and has a proud record of investment in news and programming. A surprise offer for Sky from Comcast, the USA cable group, at a premium to the Fox offer has further complicated the picture. Sky shares rose 1 per cent at 8:14 a.m.in London.

Some Sky shareholders, frustrated by the delay, had already said Fox should increase its 10.75 pounds-per-share offer.

The authority has until May 1 to make a final recommendation to the United Kingdom government, which then must decide whether to back the Fox-Sky deal, approve it with conditions or reject it. In this case, the company has guaranteed to fund Sky News as it current levels for ten years.

Critics of the deal have said that the independent board could still be influenced by the Murdoch family.

Fox said on Tuesday a group of politicians was seeking to influence the CMA, adding they were making "a number of unsupported and fanciful assertions".
